Schneider Electric signs definitive agreement to acquire PTC for more than $20 billion

French energy group Schneider Electric has agreed to acquire PTC. The all-cash acquisition is set at $205 per share for 100% of the share capital of PTC, valuing PTC’s equity at approximately $22.6 billion, according to the Financial Times, Schneider’s largest takeover to date.

Schneider Electric is currently France’s third-largest listed company at a value of around $196bn, and has actively been acquiring companies in recent years – Cognite for $3.1 billion in mid-2026, and Aveva in 2023.

For PTC, this follows the sale of Thingworx IoT and Kepware in November 2025, and an attempted acquisition by Autodesk in July last year.

“The acquisition of PTC represents an important step forward in our ambition to lead the new era of Energy and Industrial Intelligence. Together, we are creating the industry’s most complete Software & AI powerhouse and highest-quality portfolio bridging the physical and digital worlds,” said Schneider Electric CEO Olivier Blum.

The transaction has been unanimously approved by the Boards of Directors of both companies, with closure of the transaction anticipated by Q3 2027.

PTC CEO Neil Barua reassured on LinkedIn that PTC’s core mission will continue to “develop the most modern, advanced software tools for our customers to design, build, and maintain great products that impact the world.”

Barua described the acquisition as “an incredible opportunity to elevate the scope and impact of what we deliver for our customers globally.”

“By connecting and contextualising data across the lifecycle of products and assets, we will create a unique digital thread for the next generation of Industrial AI, helping customers to optimise their systems with greater intelligence from design and build to operate and maintain,” added Blum.

The acquisition is subject to customary closing conditions, including approval by PTC’s shareholders holding at least a majority of outstanding PTC shares, although the PTC Board of Directors resolved to recommend that the Company’s shareholders approve the merger agreement.
